3. Client Responsibilities

Clients must provide accurate information, necessary materials (like logos, content, brand guidelines), and timely approvals to ensure smooth execution of services. Delays in providing such materials may result in project delays.

4. Payment Terms

All projects require a mutually agreed payment structure. Payments must be made on time as per the invoice terms. Late payments may attract additional charges or result in paused services.

5. Intellectual Property

All content, graphics, designs, and code developed by Plasmid Digital Solutions remain our intellectual property until full payment is received. Upon completion and payment, the final deliverables will be handed over to the client with appropriate usage rights.

6. Confidentiality

We respect your privacy and ensure that any sensitive or proprietary information shared with us will be treated confidentially and not disclosed to third parties without prior consent.

7. Limitation of Liability

Plasmid Digital Solutions shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services, including delays, data loss, or business interruption.

8. Third-Party Services

We may use or integrate third-party tools and platforms (e.g., Facebook, Google Ads, WhatsApp API) as part of our service. We are not responsible for changes, outages, or performance issues related to these platforms.

9. Revisions and Modifications

We allow a certain number of revisions based on the service package. Additional revisions may incur extra charges. Any scope changes after project commencement will be evaluated separately and may require a revised proposal.

10. Termination

Either party may terminate the agreement with written notice. Upon termination, the client will be billed for any work completed up to the date of termination. Advance payments, if any, are non-refundable unless agreed otherwise.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, and any disputes shall fall under the jurisdiction of Raipur, Chhattisgarh.
